Standard Terms & Conditions of Agreement (2026)
Welcome to the Edge To Edge Standard Terms and Conditions of Agreement. This document governs all quotations, system designs, equipment sales, corporate rentals, installations, managed data infrastructures, and Service Level Agreements (SLAs) executed by Edge To Edge across the Republic of South Africa.
By accepting an Edge To Edge proposal, executing a digital sign-off, or permitting the installation of equipment, the Customer agrees to be bound unconditionally by these Terms and Conditions.

1. Definitions and Interpretation
• "The Company" means Edge To Edge Security Solutions, a Level 2 B-BBEE company operating nationally within South Africa.
• "The Customer" means the corporate entity, individual, or authorized representative contracting the services or leasing/purchasing hardware from the Company.
• "Equipment" means all physical hardware, including but not limited to CCTV cameras (IP/thermal), access control readers, boom gates, turnstiles, wireless alarm hubs, outdoor beams, electric fencing components, networking switches, routers, solar panels, batteries, and inverters.
• "Services" means the system architecture, installation, data integration, preventative care, and 24/7 offsite control room monitoring provided by the Company.
• "Normal Working Hours" is strictly defined as Monday through Friday, 08:00 to 16:30, excluding South African public holidays.
• "The Customer" means the corporate entity, individual, or authorized representative contracting the services or leasing/purchasing hardware from the Company.
• "Equipment" means all physical hardware, including but not limited to CCTV cameras (IP/thermal), access control readers, boom gates, turnstiles, wireless alarm hubs, outdoor beams, electric fencing components, networking switches, routers, solar panels, batteries, and inverters.
• "Services" means the system architecture, installation, data integration, preventative care, and 24/7 offsite control room monitoring provided by the Company.
• "Normal Working Hours" is strictly defined as Monday through Friday, 08:00 to 16:30, excluding South African public holidays.
2. System Design and Brand-Agnostic Procurement
• Custom Frameworks: The Company operates as an engineering-first, brand-agnostic system integration company. System recommendations are based on customized site layout evaluations, operational risk profiles, and budget constraints.
• Original Equipment Manufacturers (OEMs): Equipment is sourced globally from trusted international partners (such as Hikvision, Dahua, Hanwha Vision, Ajax, ZKTeco, Idemia, TimeTec, Nemtek, Optex, and Paradox). Hardware is subject to the specific operational boundaries and warranties defined by its respective OEM.
• Proof of Concept (PoC): Where complex or large-scale integrations are required, any on-site Proof of Concept execution validates performance parameters prior to final deployment but does not waive standard installation terms.

3. Financial Structures and Rental Agreements
When the Customer elects to utilize the Edge To Edge Finance Rental Option, the following fiscal and legal rules apply:
• Zero Capital Outlay: Equipment is provided to the Customer for operational use without any upfront capital expenditure required for hardware acquisition.
• Operating Expense Classification: Rentals are structured entirely as an operating expense (OpEx) rather than a capital expense (CapEx). They are framed to remain completely "off balance sheet," aiding the Customer's current and return on asset (ROA) ratios.
• Tax and VAT Optimization: Monthly rentals are 100% tax-deductible as an operational expense, minimizing corporate income tax obligations in accordance with South African Revenue Service (SARS) guidelines. Upfront payment of VAT is avoided and is not capitalized over the agreement period; the Customer is entitled to claim back VAT on a monthly basis as payments are serviced.
• Technology Refresh Paths: The Customer retains the explicit right to upgrade or modify the equipment configuration before the expiration of the contract term, granting the flexibility to adapt to modern technology updates without incurring standard termination penalties.
• Annual Cost Escalations: To reduce initial year-one procurement costs, rental structures may be escalated on an annual basis by linking payments directly to the prevailing South African consumer price inflation index.
• Administrative Savings: Because hardware remains the property of the lessor or the Company during the rental term, the Customer is exempt from maintaining taxed asset registers or establishing depreciation schedules for the leased assets.

4. Service Level Agreements (SLA) & Maintenance Frameworks
If the Customer contracts a monthly Service Level Agreement (SLA), the specific level of coverage is governed strictly by the chosen tier:

4.1 Core Maintenance Rules (Applicable to All Tiers)
• System Upkeep: The Company agrees to maintain all contracted equipment in an efficient operating condition.
• Corrective Maintenance Window: Remedial support and technical troubleshooting will be provided when called upon by the Customer during normal working hours (08:00 to 16:30).
• Quarterly Preventative Cycles: The Company will execute proactive preventative maintenance inspections every three months (quarterly). This process identifies early hardware deterioration or system breakdown, restoring the infrastructure to a satisfying state of operational efficiency.
• Software and Firmware: The Company provides ongoing technical advice and executes necessary software/firmware updates at no additional cost to protect the network from vulnerabilities.
• After-Hours Service Surcharges: All service calls made outside of normal working hours (before 08:00 or after 16:30 on weekdays, or anytime during weekends and public holidays) will be strictly chargeable to the Customer at prevailing emergency call-out rates, regardless of the SLA contract tier held.
• Corrective Maintenance Window: Remedial support and technical troubleshooting will be provided when called upon by the Customer during normal working hours (08:00 to 16:30).

4.2 Gold and Platinum Tier Specific Term Lengths
• 60-Month Fixed Duration: Both Gold and Platinum contracts are valid for a fixed duration of 60 months.
• Anniversary Cancellation Rules: The Customer may terminate the agreement by providing exactly 90 calendar days' written notice prior to the contract's annual anniversary date.
• Indefinite Automatic Renewal: If no written notice is received within the 90-day window preceding the anniversary, the contract will automatically run indefinitely under the same terms until either party serves 90 calendar days' written notice of termination.
• Anniversary Cancellation Rules: The Customer may terminate the agreement by providing exactly 90 calendar days' written notice prior to the contract's annual anniversary date.
• Indefinite Automatic Renewal: If no written notice is received within the 90-day window preceding the anniversary, the contract will automatically run indefinitely under the same terms until either party serves 90 calendar days' written notice of termination.
4.3 Environmental Hazard & Insurance Protections
• Gold and Platinum Environmental Exemption: Under Gold and Platinum contracts, the Company will repair or replace any damaged equipment at no charge to the Customer when the failure is directly caused by lightning, power/surge anomalies, water damage, or an Act of God. Silver agreements strictly exclude this free hardware replacement benefit.
• Platinum Comprehensive Insurance: The Platinum Contract uniquely includes full comprehensive insurance coverage for the contracted technology footprint, shielding the Customer from total asset loss or liability claims stemming from system destruction.

5. System Deployment, Access, and Statutory Compliance
• Premises Access: The Customer grants Edge To Edge technical personnel unhindered access to the designated properties, perimeters, and server rooms during normal working hours to execute installations, PoC assessments, or SLA maintenance.
• Site Readiness: Unless explicitly contracted under an Edge To Edge Solar or Networking infrastructure project, the Customer is solely responsible for ensuring the availability of clean, stable electrical connections and adequate building structural integrity.
• Electric Fencing Certificates of Compliance (CoC): All perimeter electric fencing installations are engineered strictly to South African statutory standards. The Company will issue an official, legal Certificate of Compliance (CoC) upon project completion. Any unauthorized third-party physical modifications or tampering with the fence line immediately nullifies the CoC and voids all related SLA protections.
• Site Readiness: Unless explicitly contracted under an Edge To Edge Solar or Networking infrastructure project, the Customer is solely responsible for ensuring the availability of clean, stable electrical connections and adequate building structural integrity.
• Electric Fencing Certificates of Compliance (CoC): All perimeter electric fencing installations are engineered strictly to South African statutory standards. The Company will issue an official, legal Certificate of Compliance (CoC) upon project completion. Any unauthorized third-party physical modifications or tampering with the fence line immediately nullifies the CoC and voids all related SLA protections.
6. 24/7 Offsite Monitoring and Data Infrastructure Continuity
• Early Warning Limitations: The Company's 24/7 Live Offsite Control Room Monitoring operates as a proactive early-warning deterrence system utilizing AI smart analytics, outdoor beam cross-linking, and automated number plate recognition (ANPR) database querying. It is designed to minimize risk, trigger live voice-downs, and coordinate rapid emergency dispatch. It does not replace local emergency services and does not constitute an absolute guarantee against criminal intrusion, property damage, or fire hazards.
• Network and Power Dependency: While the Company offers managed networking solutions (fiber backbones, wireless point-to-point links) and off-grid solar/battery assemblies to ensure high availability, the Company cannot be held liable for system streaming interruptions caused by:
1. Total, prolonged regional telecommunications provider downtime.
2. Intentional cutting or destruction of infrastructure by third parties beyond our immediate control.
3. Severe, multi-day weather conditions that exceed the calculated reserve capacities of the deployed standalone solar battery enclosures.
• ANPR Database Accuracy: Automated real-time database querying for blacklisted or cloned vehicles relies directly on external database updates. The Company accepts no liability for false positives or missed alerts caused by inaccurate third-party data logs.
• Network and Power Dependency: While the Company offers managed networking solutions (fiber backbones, wireless point-to-point links) and off-grid solar/battery assemblies to ensure high availability, the Company cannot be held liable for system streaming interruptions caused by:
1. Total, prolonged regional telecommunications provider downtime.
2. Intentional cutting or destruction of infrastructure by third parties beyond our immediate control.
3. Severe, multi-day weather conditions that exceed the calculated reserve capacities of the deployed standalone solar battery enclosures.
• ANPR Database Accuracy: Automated real-time database querying for blacklisted or cloned vehicles relies directly on external database updates. The Company accepts no liability for false positives or missed alerts caused by inaccurate third-party data logs.
7. Limitation of Liability and Indemnity
• No Insurer Status: Except where the Customer holds a Platinum SLA containing explicit comprehensive system insurance, Edge To Edge is not an insurer of the Customer's property, inventory, personnel, or assets. The Customer must maintain separate, independent corporate insurance policies for all operational risks.
• Exclusion of Consequential Loss: Neither the Company nor its directors, technicians, or control room operators shall be held liable to the Customer or any third party for any indirect, incidental, special, or consequential damages—including but not limited to loss of profits, business interruption, data corruption, loss of inventory, or physical theft—arising out of or relating to a hardware malfunction, network latency, or an analytical oversight during live monitoring.
• Maximum Liability Cap: In any scenario where a court of competent jurisdiction finds the Company liable for proven negligence, the Company’s total aggregate liability shall be strictly capped at the total amount paid by the Customer to the Company for the specific service or installation during the three (3) months immediately preceding the event that gave rise to the claim.
• Exclusion of Consequential Loss: Neither the Company nor its directors, technicians, or control room operators shall be held liable to the Customer or any third party for any indirect, incidental, special, or consequential damages—including but not limited to loss of profits, business interruption, data corruption, loss of inventory, or physical theft—arising out of or relating to a hardware malfunction, network latency, or an analytical oversight during live monitoring.
• Maximum Liability Cap: In any scenario where a court of competent jurisdiction finds the Company liable for proven negligence, the Company’s total aggregate liability shall be strictly capped at the total amount paid by the Customer to the Company for the specific service or installation during the three (3) months immediately preceding the event that gave rise to the claim.
9. Governing Law and Jurisdiction
This Agreement, its interpretation, and all interactions arising from it shall be governed exclusively by the laws of the Republic of South Africa. Both parties consent to the jurisdiction of the High Court of South Africa (or the Magistrate's Court having relevant jurisdiction over the regional provincial branch executing the project, whether in Gauteng, KwaZulu-Natal, or the Western Cape).
